Duties & Responsibilities:
- Researching, advising, and assisting in the structuring, regulatory analysis and launch of new investment.
- Interpreting and assisting with the implementation of regulatory changes (both U.S. and international) that impact asset/portfolio management.
- Researching, negotiating and reviewing a variety of commercial agreements including vendor service agreements, confidentiality agreements and transactional documentation relating to asset management such as investment management agreements, purchase agreements; restructuring support agreements, leveraged loan documentation and fund documentation;
- Managing and coordinating due diligence reviews and preparation of related memoranda;
- Providing legal analysis of risks associated with the terms and conditions of such agreements
- Assist with review of marketing materials, request for proposals, policies and procedures;
- Drive an environment of continuous quality and process improvement, including initiatives for effective management of outside counsel
Requirements:
